Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Palms Studio software-as-a-service platform, our marketing website at palmstudio.app, and any related applications, APIs, and services (collectively, the "Service"), operated by Palms Studio ("Palms Studio", "we", "us").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Palms Studio is a multi-tenant platform that lets independent small businesses — including but not limited to florists, candle makers, gift boutiques, bakeries, and other handmade-goods sellers (collectively, "Tenants") — run an online storefront, accept orders, manage fulfillment and delivery, take payments via Stripe, and communicate with customers by email and SMS.

2. Eligibility

You may use the Service only if you are at least 18 years old and capable of entering into a binding contract. By using the Service you represent that you meet these requirements and that you are using the Service for lawful business purposes.

3. Account Registration

Tenant accounts require you to provide accurate, current information about your business. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@palmstudio.app if you suspect unauthorized access.

4. Tenant Responsibilities

By using the Service as a Tenant, you agree that you are solely responsible for:

  • The products and services you list and sell, including their legality and accurate description.
  • Compliance with all laws applicable to your business — including consumer protection, sales tax collection and remittance, food safety (where applicable), licensing, labor, and privacy laws.
  • Honoring orders placed through your storefront and managing returns, refunds, and customer complaints.
  • The accuracy of business and tax information you provide for Stripe Connect onboarding.
  • Maintaining your own terms of sale and privacy notice to your customers as required by applicable law.
  • Honoring your customers’ communication preferences, including SMS opt-out requests.

5. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use the Service to sell or distribute illegal goods or services, weapons, controlled substances outside lawful channels, counterfeit items, or items that infringe third-party intellectual property.
  • Send spam, unsolicited marketing communications, or any messages in violation of the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), CTIA guidelines, or equivalent laws.
  • Attempt to circumvent, disable, reverse-engineer, or interfere with the security or operation of the Service.
  • Scrape, harvest, or otherwise collect data from the Service except as expressly permitted.
  • Misrepresent your identity or affiliation with any person or organization.
  • Use the Service to transmit malware, viruses, or other harmful code.

6. Payments and Fees

Where the Service is offered for a subscription fee or transaction-based fee, pricing is published on our website or otherwise communicated to you when you sign up. Fees are exclusive of applicable taxes. We may change fees on prospective notice. Tenants are paid through Stripe Connect for orders processed on the Service; payouts, refunds, and disputes are subject to Stripe’s terms.

7. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content provided by us, is owned by Palms Studio and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms.

You retain ownership of the content you upload to the Service (product images, descriptions, storefront content). You grant us a worldwide, royalty-free license to host, display, and transmit that content as necessary to provide the Service to you and your customers.

8. Third-Party Services

The Service integrates with third parties — including Stripe (payments), Twilio (SMS), Resend (email), Supabase (database), and Vercel (hosting). Your use of those third-party services is subject to their respective terms. We are not responsible for outages, errors, or policies of third parties.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if (a) you breach these Terms, (b) your continued use poses a risk to the Service or to other users, (c) you fail to pay fees when due, or (d) we are required to do so by law. Upon termination we will allow a reasonable period for you to export your data; after that period your data may be deleted.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALMS STUDIO AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) USD $100.

12. Indemnification

You agree to indemnify and hold harmless Palms Studio from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Service in violation of these Terms, (b) products or services you offer through the Service, or (c) communications you send through the Service.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising under or relating to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes we will update the "Effective" date and, where appropriate, notify Tenants by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
